Proofpoint acquires Varonis for $6.3 billion
Proofpoint has signed an agreement to acquire Varonis, a provider of Data Security, for a total cash amount of approximately $6,300 million. The acquisition aims to integrate data protection and AI security on a unified platform. Proofpoint, which is part of the Thoma Bravo investment portfolio, will purchase Varonis at a price of $49.75 per share, totaling around $6,300 million.
Proofpoint sees the increasing access of AI agents to critical data across various systems as a growing concern. The integration of Identity communication, access rights, data, and AI will enhance visibility into risks and enable quicker responses. Both companies offer complementary solutions, with Varonis providing a platform that enables organizations to automatically see and control critical data, regardless of its location, while also covering AI security from code level to runtime, along with 24/7 Managed Detection and Response services.
In contrast, Proofpoint focuses on protecting interactions between individuals, data, and AI agents through email, Cloud, and collaboration tools. Following the merger, both companies plan to create a single platform that searches for and protects critical data, controls access for both individuals and AI, and prevents data leaks. Currently, Proofpoint has more than 80 customers in the Fortune 100 and over 14,000 large organizations. Together with Varonis, they will have more than 16,000 enterprise customers worldwide.
The deal has been unanimously approved by Varonis's board of directors and is expected to be finalized in the first half of 2027, pending approval from Varonis's shareholders and regulatory authorities. In the meantime, both companies will continue to operate independently. Once the deal is closed, Varonis will become a private company, and Proofpoint plans to integrate the capabilities of both companies, align their marketing strategies, and accelerate the delivery of the combined platform to customers.
