onsemi modifies acquisition agreement for Synaptics to $5.7 billion

On October 3, onsemi announced a modification to its acquisition agreement with Synaptics, originally announced on June 25. The new terms indicate that onsemi will complete the transaction with approximately $5.7 billion in cash, rather than the previously stated $7 billion in stock, representing an 18.6% discount.

On the day of the acquisition announcement, onsemi's closing share price was $118.74, with the following day's opening price dropping to $98.29. Currently, onsemi's stock is around $85, reflecting decreases of 28.4% and 13.5% compared to earlier data.

Onsemi stated that the revision came in response to a competitive acquisition proposal from a third party. The company expects that this transaction will immediately enhance its Non-GAAP earnings per share and provide value certainty for Synaptics' shareholders.

The transaction is still expected to be completed by mid-2027, pending approval from Synaptics' shareholders and necessary regulatory approvals, as well as meeting other customary closing conditions. Approval has been granted by the Federal Trade Commission, while other regulators are currently reviewing the transaction.
