# Schneider Electric to Acquire PTC for 22.6 Billion USD

Schneider Electric announced it will acquire the American industrial software company PTC in an all cash transaction totaling approximately 22.6 billion USD. The deal is priced at 205 USD per share, representing a 42.3 percent premium over the last closing price and a 46.1 percent premium over the weighted average price of the previous 30 trading days. The transaction is expected to close in the third quarter of 2027.

This acquisition marks the largest merger in the history of Schneider Electric, surpassing its 2023 acquisition of AVEVA, which was valued at approximately 11 billion USD. To fund the deal, the company plans to issue 5 billion to 6 billion euros in new shares and take on 16 billion to 17 billion euros in new debt, while suspending share buybacks until 2028.

PTC reported revenue of approximately 2.74 billion USD for the 2025 fiscal year, with annual recurring revenue of approximately 2.48 billion USD. The company maintains a gross margin of 83.8 percent and serves more than 30,000 customers globally. Its product portfolio includes Creo for 3D design, Windchill for product lifecycle management, Codebeamer for software lifecycle management, and ServiceMax for field service management.

Schneider Electric intends to use the acquisition to create a unified digital thread from design and construction to operation and maintenance. The company aims to build a system of collaborating industrial agents where research, process, and operation agents share the same engineering memory. This follows Schneider Electric's previous acquisition of AVEVA and its 3.1 billion USD acquisition of Cognite, announced in 2026.

The deal remains subject to regulatory approvals, including the United States Hart Scott Rodino antitrust review, the Committee on Foreign Investment in the United States review, and approvals in multiple jurisdictions including the European Union.
