# Schneider Electric acquires PTC for US$ 22.6 billion

Schneider Electric announced on October 5 that it has reached an agreement to acquire the American software company PTC for approximately US$ 22.6 billion. This transaction marks the largest acquisition in the history of the French company and enhances its presence in industrial software and artificial intelligence.

Under the agreement, Schneider will pay US$ 205 per share of PTC, representing a premium of 42.3% over the last closing price of the shares. When considering debts and other components, the transaction assigns an enterprise value of around US$ 23.7 billion to PTC.

With headquarters in Boston, PTC develops software aimed at product development, manufacturing, and lifecycle management. Schneider plans to combine these capabilities with its portfolio in automation, energy, and data center infrastructure.

According to Olivier Blum, the CEO of Schneider Electric, the engineering and design data from PTC is expected to help the company enhance the application of artificial intelligence in the industrial operations of its clients. Following the acquisition, software as a service is anticipated to represent about 24% of the total revenue of the group.

This deal continues Schneider's expansion into software and artificial intelligence. In June, the company announced the acquisition of Cognite, which specializes in industrial data and artificial intelligence software.

Schneider estimates annual savings of € 250 million by the third year following the completion of the transaction, in addition to approximately € 800 million in revenue synergies.

The transaction will be financed through a combination of new stock issuance and debt and is subject to the approval of PTC shareholders and regulatory bodies. The completion is expected in the third quarter of 2027.
