# IonQ to acquire Elisity in all-stock deal valued at up to $1.3 billion

Quantum computing company IonQ has announced its intention to acquire cybersecurity firm Elisity in an all-stock transaction. The deal carries a maximum valuation of $1.3 billion, a figure that includes potential additional payments linked to future performance metrics. This acquisition marks a significant step for IonQ as it seeks to transition from a hardware supplier into a broader quantum technology platform, integrating cybersecurity into its long-term business strategy.

Elisity, a private company founded in 2019, specializes in enterprise network security. Its technology is designed to prevent cyberattackers and ransomware from moving laterally within internal networks. As artificial intelligence systems grow more complex and quantum computing technology continues to advance, the threat landscape for enterprises is evolving. IonQ aims to strengthen its ability to address these shifting risks through this acquisition. The company's clients include organizations in sectors such as healthcare, where interconnected devices and servers present significant security challenges.

The core of Elisity's technology involves microsegmentation, a method that divides network resources into smaller, secure zones. By implementing fine-grained access controls based on identity and device status, the system limits the scope of an attacker's activity once they have breached the perimeter. Traditional security often focuses on external entry, but internal connections can be exploited to steal data or spread malware. This approach is particularly relevant for large organizations in finance, manufacturing, and healthcare that must balance data protection with the need for system communication.

IonQ plans to combine Elisity's enterprise security capabilities with its expanding quantum technology portfolio. While the acquisition does not immediately grant existing products quantum computing power, it provides a commercial entry point into the cybersecurity market. The company intends to leverage Elisity's established customer base and security technology to broaden its product offerings. This move aligns with IonQ's recent strategy of integrating quantum computing, networking, and security products into a cohesive technical system.

The relationship between quantum computing and cybersecurity is increasingly critical. Current public key cryptography relies on mathematical problems that are difficult for classical computers to solve. However, future quantum systems may pose a threat to these algorithms. The industry refers to the potential point of large-scale decryption as Q-Day, though this is a conceptual risk rather than a fixed date. Researchers are still working to improve the scale and stability of quantum computers, meaning existing systems are not yet universally compromised.

To mitigate these risks, organizations are advised to prepare before Q-Day arrives. Attackers may collect encrypted data now and attempt to decrypt it later, a strategy known as harvest now, decrypt later. This poses a significant threat to long-term confidential data in government, medical, and financial sectors. Post-Quantum Cryptography, or PQC, offers a solution by using algorithms resistant to quantum attacks that can be deployed on existing infrastructure. Another approach is Quantum Key Distribution, or QKD, which uses quantum physics to establish keys and detect eavesdropping. These two technologies operate on different principles and are not simple substitutes for one another.

This acquisition is not IonQ's only recent major transaction. In January 2026, the company announced a plan to acquire SkyWater Technology, a semiconductor manufacturer, for approximately $1.8 billion in cash and stock. That deal aims to strengthen control over quantum processor manufacturing. In contrast, the Elisity acquisition targets the daily security needs of enterprise clients. While the two businesses have different development rhythms, with cybersecurity being a more mature market, IonQ hopes to expand its reach into enterprise IT environments.

The all-stock payment structure reduces the immediate cash outlay for IonQ but introduces potential share dilution. The deal includes up to $150 million in performance-based earnouts, tying part of the value to Elisity's future operational results. The stock price for the transaction is calculated within a range of $33.07 to $49.61 per share. IonQ's market capitalization was close to $16 billion prior to the announcement. The success of this strategy will depend on the company's ability to integrate Elisity's products with its own quantum security technologies and demonstrate tangible commercial returns.
